Monumental Settlement Announced in Provider Blue Cross Blue Shield Antitrust Case

BIRMINGHAM, AL – Today a monumental settlement was announced by Whatley Kallas, LLP, Co-Lead Counsel, in a long-running antitrust lawsuit filed on behalf of healthcare providers across the nation. The settlement with all the Blue Cross and Blue Shield entities in the country, as well as the Blue Cross and Blue Shield Association, provides billions of dollars for healthcare providers and is the largest antitrust settlement in the history of the United States healthcare industry. The settlement includes a $2.8 billion cash payment into a settlement fund, as well as investments by the Blues of hundreds of millions of dollars in system improvements for the benefit of providers. Provider Plaintiffs have asked the court to preliminarily approve the settlement, which would resolve their claims that the Blues violated the antitrust laws by, among other things, agreeing to allocate markets through the use of exclusive service areas and to fix the prices paid to providers through the BlueCard Program.

More importantly, in addition to the substantial damages fund, the settlement outlines crucial changes in the business relationship between Blue Cross Blue Shield Association member plans – all 33 independent Blues – that will transform the BlueCard Program. The settlement also affects how the Blues process claims, communicate with, and make payments to healthcare providers. The new transformation parameters outlined in the settlement help alleviate and address resource-draining administrative burdens and inefficiencies currently experienced by providers.

“Over the past 12 years we have dedicated an extraordinary amount of time, tireless effort and resources to this historic outcome for providers,” said Co-Lead Counsel Edith Kallas, of Whatley Kallas. “Many important issues for providers are finally being addressed. We’re pleased that we have been able to achieve relief that will create a better system for healthcare providers and that will support the organizations and people we rely on to take care of us and our families every day.”

Co-Lead Counsel Joe Whatley added: “The $2.8 billion cash payment, together with the hundreds of millions of dollars in additional investments the Blues are making to improve their systems, will benefit providers enormously. We believe that the actual value to providers is much greater than the total payments.”

As part of the settlement, there are sixteen categories of transformational program requirements that will hold Blue Cross and Blue Shield plans accountable for timely communication and payment; transparent decision-making and dealings with third parties; and timely claims status updates. The settlement also gives providers increased contracting opportunities with the Blues.

All Blue Cross and Blue Shield plans and the Blue Cross Blue Shield Association will be held accountable by an appointed Monitoring Committee for five years following the effective date of the settlement after the Court’s final approval. The Provider Plaintiffs assembled a work group consisting of different types of providers, including representatives of large healthcare systems, teaching hospitals, rural hospitals, physicians, ancillary providers and medical and hospital associations which gave meaningful guidance throughout the process. The American Hospital Association also gave valuable input. “We greatly appreciate the assistance from the Provider community,” said Edith Kallas.

“For nearly two decades I have helped lead, through my role at HANYS, a multi-state group of hospital associations attempting to obtain meaningful reforms for hospitals and healthcare systems, including their doctors and ancillary providers, in the Blue Card Program. I have worked closely with Whatley Kallas to continue those efforts in this lawsuit and mediation. This settlement represents a culmination of these necessary, meaningful reforms and will significantly improve the Blue Card Program for all Class Members” said Jeff Gold, Vice President and Counsel for Managed Care and Insurance, Hospital Association of New York State.

Matthew Katz, who has served in various organized medicine roles for decades and is currently a consultant for healthcare providers added “I have spent much of my professional life assisting doctors, clinicians and other healthcare professionals in addressing ongoing issues in the Blues’ system. I have continued these efforts by assisting Whatley Kallas in the litigation and resolution of this lawsuit. The injunctive relief achieved here is transformative and will result in a more transparent, efficient and accountable experience for Class Members in dealing with the Blues.”

As the litigation has proceeded for the past twelve years, the providers’ lawyers, led by Whatley Kallas, have spent approximately $100 million, most of which was used to develop the largest collection of healthcare claims data in any case in history and for leading healthcare antitrust economists to evaluate that data and to develop econometric models for the case.

Of its 75 members, 66 members are elected from Alabama’s 41 judicial circuits and nine serve as at-large members and are selected by the BBC. As noted by the Alabama State Bar, the BBC “has the authority to promulgate and enforce rules relating to admissions, rules of ethics and discipline of its membership. Other responsibilities of the board include determining the qualifications and requirements for admission to the practice of law; investigating and acting on complaints concerning conduct of members and applicants for admission; overseeing the bar examination; assisting local bar associations and more.” Ms. Brown represents the 10th Judicial Circuit (Place 7) and Ms. Graham is an at-large member. White Arnold & Dowd P.C. Remembers Stephen R. Arnold

Stephen Richard Arnold, 75 of Birmingham, passed away on May 26, 2023 following a recent illness. Born November 4, 1947 to Robert Walter Arnold and Katherine Durham Arnold, Steve graduated from Indian Springs School in 1966. He graduated from the University of Alabama with a B.S. in Finance in 1971. Steve served our country in the United States Army on active duty from 1970-1971 in Fort Sill, Oklahoma and then transferred to the inactive reserves in 1971; he discharged with the rank of captain in 1978. Following his active duty military service, Steve attended Cumberland School of Law at Samford University, receiving his Juris Doctor in 1974 and beginning a law practice that would span nearly 50 years.

Steve and his beloved wife Barbie prioritized spending time with their blended family: son Allen (Evalouise), daughter Allene, daughter Robin Ennis (John), and son David Parks (Camila). His greatest joy in life was being “SteveO” to their eight grandchildren: Adelia, Kate, and Lillian Arnold and Alden, Andrew, Archer, Meadow, and Miles Ennis. Steve enjoyed exploring the world with Barbie, especially summers in Maine, and deeply valued time spent closer to home hosting family and friends on the Gulf Coast and at their lake home at Blackridge. He appreciated beauty, seeking it out in the artists he befriended as well as in nature, most often on golf courses all over the world. Steve especially enjoyed playing golf at Vestavia Hills Country Club, where he recently achieved – and has photographic evidence to prove – a hole-in-one.

For the first five years of his legal career, Steve engaged in a broad general practice with the firm of Jones, Arnold & Roden, resulting in the beginning of his specialization in matrimonial law. He was next a partner in Durward and Arnold, concentrating solely in the area of matrimonial law (1979-1993). Steve then joined White, Dunn and Booker (1993-2003), the predecessor to White Arnold & Dowd P.C., where Steve served as a founding member, named partner, and member of the executive committee for 20 years. Steve enjoyed a well-deserved reputation as one of Alabama’s pre-eminent matrimonial and divorce attorneys. His extensive background in finance, accounting, and general business enhanced his chosen concentration in financially and legally complex matrimonial matters. Steve was a well-respected and talented advocate who valued – and expected – honesty, excellence, and integrity from his professional teammates and adversaries. He was dedicated to serving his clients’ overall best interests and emphasized problem solving, negotiating, and achieving positive resolutions for his clients. Steve managed to counsel and successfully guide his clients through the stresses of divorce, matrimonial litigation, and the court system without losing his own humanity and compassion.

Steve’s pursuit of professional excellence naturally led to his selection as one of the first five practitioners in Alabama for fellowship in the prestigious American Academy of Matrimonial Lawyers (“AAML”). Through the AAML, he worked to improve the practice of matrimonial law on a national level, including serving as a national faculty member for the AAML Institute for Training Young Lawyers, as governor, and on the board of the AAML Foundation. In recognition of his superior trial and advocacy skills, Steve was certified as a Family Law Trial Specialist by the National Board of Trial Advocacy and named a fellow of the American College of Family Trial Lawyers. He co-founded the Family Law Section of the Alabama State Bar Association and served as the section’s president; Steve also served as a board member of the Heart Gallery, advocating for adoption.

In addition to Barbie, their children and grandchildren, and a host of colleagues and friends, Steve is survived by his sister Barbara Breo and his nephew David Breo (Karin and Ella). The family extends special thanks to Emily Reiter, Scarlett Silvani, Vernon Furlow, Nick Redmill, and the other nurses and healthcare team at Grandview Medical Center. Funeral services will be held at St. Luke’s Episcopal Church (3736 Montrose Road, Mountain Brook, AL 35213) on Tuesday, May 30, 2023 at 3:00 p.m. Visitation will be at 2:00 p.m. in Graham Hall at the church. A family burial and interment will follow at Bethel United Methodist in Warrior, AL. In lieu of flowers, memorial donations may be made to St. Luke’s Foundation (https://saint-lukes.com/ministries/st-lukes-foundation/) or the AAML Foundation (www.AAMLFoundation.org).
